Terms of Service

1.Acceptance & eligibility

By using the service you confirm you are at least 18, are authorized to bind your organization, and will use the service for lawful business purposes. If you do not agree, do not use the service.

2.Definitions

"Service" means the TradeOS platform and related features. "Outputs" means content the service generates (HS codes, FTA analysis, C/O forms, alerts). "Your Content" means data you submit. "Plan" means a paid subscription.

3.The service

TradeOS uses AI to assist with HS-code classification, FTA duty analysis, C/O drafting, and regulatory-change monitoring. We may add, change, or discontinue features over time to improve the service.

4.Accounts

You register through our authentication provider (Clerk). You are responsible for keeping your credentials confidential, for all activity under your account/organization, and for ensuring the information you provide is accurate and current.

5.AI outputs are decision support — NOT advice

THIS IS AN IMPORTANT CLAUSE. Outputs generated by the service (HS codes, FTA savings, C/O drafts, regulatory alerts) are produced automatically by AI and are DECISION SUPPORT. They are NOT legal, customs, or tax advice, and may be inaccurate or incomplete.

You must independently review and verify every Output before filing with customs or any authority. You remain ultimately responsible for the HS codes you choose, the documents you submit, and all compliance decisions.

TradeOS is not responsible for misclassification, rejected C/O forms, customs penalties, missed deadlines, or any loss arising from reliance on the Outputs.

6.Your content & data

You retain ownership of Your Content and of the Outputs you generate. You grant TradeOS a limited license to store and process Your Content (including transmitting it to our AI provider) to operate the service.

You represent that you have the rights to the data you submit and that it is lawful and accurate. Processing of personal data is governed by the Privacy Policy.

7.Acceptable use

You agree NOT to:

• Reverse-engineer, copy, or attempt to extract the source code of the service.
• Scrape, overload the system, or circumvent usage/security limits.
• Resell, rent, or provide the service to third parties outside your organization without permission.
• Upload malware or unlawful content, or use the AI to generate prohibited content.
• Use the service in violation of applicable law.

8.Plans, billing & subscriptions

Paid plans are billed through Lemon Squeezy as Merchant of Record; prices are shown in USD. Subscriptions auto-renew until you cancel; on cancellation you keep access through the end of the paid period. Limits and pricing are on the Pricing page.

Payments are non-refundable by default. Refunds follow the Merchant of Record's (Lemon Squeezy) policy and may be requested within the window that policy provides. Taxes, where applicable, are handled by the Merchant of Record.

9.Intellectual property

TradeOS and its licensors own the platform, software, brand, logo, and designs. You receive no rights other than to use the service under these terms. If you submit feedback, you allow us to use it to improve the service.

10.Third-party services

The service integrates third-party providers (authentication, billing, AI, hosting, email). Your use of those components may be subject to their own terms. We are not responsible for third-party outages or conduct beyond our reasonable control.

11.Disclaimer of warranties

The service is provided "AS IS" and "AS AVAILABLE". To the extent permitted by law, we do not warrant that it will be uninterrupted, error-free, accurate, or fit for a particular purpose, and we do not warrant the accuracy of AI Outputs.

12.Service availability

We aim to keep the service reasonably available but do not commit to any specific availability level (SLA) on current plans. The service may be suspended for maintenance, updates, or events beyond our reasonable control.

13.Limitation of liability

To the maximum extent permitted by law, TradeOS is not liable for indirect, incidental, or consequential damages, lost profits, customs penalties, or data loss. Our total liability for all claims will not exceed the fees you paid for the service in the 12 months preceding the event giving rise to the claim.

14.Indemnification

You agree to indemnify and hold TradeOS harmless from claims arising out of your breach of these terms, the data you submit, or your unlawful use of the service.

15.Term & termination

These terms apply until terminated. You may stop using the service at any time. We may suspend or terminate access if you breach the terms or fail to pay. After termination you have a reasonable window to export your data; the intellectual-property, disclaimer, liability, and governing-law clauses survive.

16.Changes to terms & service

We may modify the terms or the service. For material changes we will notify you via the service or email. Continued use after a change takes effect constitutes acceptance.

17.Governing law & disputes

These terms are governed by the laws of Vietnam. Disputes will first be addressed in good faith; failing that, they fall under the jurisdiction of the competent courts of Vietnam (or arbitration at VIAC if the parties so agree).

18.General

These terms are the entire agreement between the parties regarding the service. If a clause is held invalid, the rest remain in effect. Failure to enforce a right is not a waiver of it. You may not assign this agreement without our consent. We are not liable for delays caused by force majeure. The Vietnamese version is the original and prevails.
